Representing the side of the table for whom a deal is a defining event — across from counterparties who do this every day.
An institutional investor negotiates these deals constantly. For the founder, executive, or physician across the table, the same transaction may be a once-in-a-lifetime event. That asymmetry — repeat player against first-timer — is where individuals most often give up value they never knew was on the table.
This practice exists to close that gap: to give principals representation that matches the sophistication of the institutions they face, in the moments that matter most.
Yousef AbuGharbieh founded the practice after a career spent on the other side of these very negotiations — as an operator, an investor, and a principal.
He brings a Yale JD/MBA and a background from McKinsey and private equity, and most recently served as Chief Operating Officer of an investment holding company. Alongside the practice, he operates a strategic advisory firm focused on operational scaling, transaction execution, and complex commercial negotiations for growth-stage companies.
He has held three portfolio-company board seats and has led or advised on closed M&A transactions, spin-outs, capital raises, and senior management compensation design. That experience is the practice's edge: having sat where the counterparty sits — on boards, on compensation committees, and across the table in live deals — he knows where institutions are likely to flex and where they will hold firm, and which terms are genuinely fixed rather than simply presented that way.
Each matter is read not just as a document, but as a structure of leverage and incentives — so clients can decide with the full picture in view.
Representing founders and executives in negotiations and disputes with institutional counterparties — employment and separation terms, equity and compensation arrangements, earnouts and post-transaction disputes, and the agreements that shape a career or a company's ownership.
Counsel for physicians and physician-owners navigating practice sales, joint ventures, and ongoing relationships with private equity sponsors and institutional buyers — including the post-close governance and compensation dynamics where individuals are most often squeezed.
Seller-side representation for founder-owned businesses — reviewing and negotiating the transaction documents, governance terms, and rollover and earnout structures that determine what a sale actually delivers.
General corporate counsel for growing businesses — entity formation and governance, commercial contracts, and the documents that support expansion — informed throughout by cross-domain operational and financial perspective.
A small practice by design — engaged where the work and the relationship genuinely fit, not measured by headcount.
Plain terms, defined scope, and straightforward billing. You should always know what is being done and why.
